These terms cover the purchase and delivery of AI ORA™ assessments through ai-ora.com. Defined terms are explained in section 2.
These terms are an agreement between ORA Benchmarking Limited, a New Zealand limited company with company number 9419062 and NZBN 9429053572813, referred to as AI ORA™, we, us or our, and the Client.
The Client is the organisation identified as the assessed organisation in the Order. The person placing the Order confirms that they are authorised to bind the Client to these terms.
By placing an Order through ai-ora.com, or otherwise confirming an Order, the Client accepts these terms. For an online Order, acceptance occurs when an authorised person actively confirms acceptance at checkout. AI ORA™ records the version of the terms accepted for the Order. If AI ORA™ and the Client sign a separate written agreement, that agreement prevails to the extent of any conflict.
AI ORA™ Assessments are supplied to organisations for business purposes, not to individual consumers.
Assessment. A People Readiness assessment or an Organisational Readiness assessment purchased from AI ORA™.
Business Day. A day other than a Saturday, Sunday or public holiday in Auckland, New Zealand.
Deliverables. The outputs listed in the Order Confirmation for an Assessment, which may include a Findings Report, executive summary, dashboard, action plan, technical appendix or other agreed outputs.
Eligible Population. The people within the Client who are intended to be invited to complete the survey, as stated by the Client.
Findings Report. The written report of results delivered as part of the Assessment.
Order. The Client's purchase of an Assessment as recorded in the Order Confirmation.
Order Confirmation. The checkout confirmation, email, proposal, Order Form or other written confirmation issued or accepted by AI ORA™ that records the commercial details of an Order.
Organisation Headcount. The total number of employees in the assessed organisation, or the relevant assessed business unit where AI ORA™ agrees that the Assessment is limited to that unit. It is used to determine the price band.
Primary Country. The country in which the Client entity receiving the Assessment is incorporated, unless AI ORA™ agrees in the Order to use another country because the Assessment relates principally to a business unit or workforce based there.
Project Coordinator. The person or people the Client names to coordinate the Assessment and receive communications from AI ORA™.
Resource Hub. The AI ORA™ online space where the Client manages an Assessment after sign-up, including survey dates and onboarding information.
Respondent. A person who completes the survey through the Survey Link.
Valid Response. A response that reaches survey completion under the applicable routing, is not an identified test submission, and does not show clear evidence that it was automated, deliberately manipulated, submitted by someone outside the Eligible Population, or submitted more than once by the same person. Multiple responses from the same device, browser, network or location are not by themselves evidence of duplication where shared-device participation is permitted.
Survey Link. The web link AI ORA™ supplies for the Client to circulate to the Eligible Population.
Survey Window. The period during which the Survey Link is open for responses, including any extension under section 6.
AI ORA™ provides survey-based AI readiness assessments. People Readiness measures workforce sentiment, capability, current AI use and readiness before a formal AI programme begins. Organisational Readiness measures how well an AI strategy is understood and put into practice after AI has been formally introduced.
Each Assessment includes survey setup, supply of the Survey Link, analysis of Valid Responses and the Deliverables stated in the Order Confirmation. The product description shown at checkout and recorded in or with the Order Confirmation forms part of the Order. The Order Confirmation prevails for the specific commercial details of that Order.
People Readiness requires an Eligible Population of at least 10 people. Organisational Readiness requires an Eligible Population of at least 30 people. People Readiness for an Eligible Population of 10 to 29 people is a streamlined Assessment with reduced analytical depth, as explained in section 6. All reporting remains subject to the response thresholds and limitations in that section.
At sign-up the Client selects the Assessment type, Organisation Headcount band, Primary Country and survey start date. The Order Confirmation records the applicable price, currency and Deliverables. The minimum-response conditions are displayed and positively acknowledged at checkout.
AI ORA™ recommends scheduling the survey start date at least one week after the Order, so the Client has time to communicate and position the Assessment with its people. The Survey Window is three weeks by default. A response rate of 60 percent of the Eligible Population is a recommended target, not a condition for delivery. The Client may extend the Survey Window through the Resource Hub, up to a maximum of six weeks in total.
The Deliverables are normally provided within 10 Business Days after the Survey Window closes, subject to full payment and section 6.
The onboarding form must be completed before the survey can open. If it is not completed in time, the start date moves by default to seven calendar days after the form is submitted, unless the parties agree another date.
Changes to survey dates are handled under section 7.
The price shown and confirmed at the time of the Order applies to that Order, even if AI ORA™ changes its list prices later.
Assessments for Clients whose Primary Country is New Zealand are priced and billed in New Zealand dollars. Assessments for all other Clients are priced and billed in United States dollars, unless the Order Confirmation states otherwise. The location of the person placing the Order does not change the billing currency.
Prices exclude tax. GST applies to Assessments whose Primary Country is New Zealand. Any other applicable taxes are added where AI ORA™ is legally required to collect them, and the tax amount is confirmed at checkout. The Client is responsible for other taxes or duties imposed in its country in connection with the Order, excluding taxes on AI ORA™'s net income.
Payment is processed through Stripe or another method agreed in the Order Confirmation. AI ORA™ does not see or store full credit card details.
AI ORA™ offers two payment methods: card payment at the time of the Order, and invoicing where AI ORA™ agrees invoice terms in writing. Where card payment applies, payment is due at the time of the Order. Where AI ORA™ agrees to invoice the Client, payment is due within 14 days of the date of the Order, unless the Order Confirmation states another period.
AI ORA™ begins the Assessment from the date of the Order, regardless of the payment method, so setup and scheduling are not delayed. Release of the Deliverables is conditional on full payment being received and confirmed. AI ORA™ may suspend work and withhold the Deliverables while an undisputed amount is overdue. The Client must reimburse AI ORA™ for reasonable external costs incurred in recovering an undisputed overdue amount.
AI ORA™ requires at least six Valid Responses before it can deliver findings.
Below six Valid Responses, the results cannot be reported in a way that provides enough evidence while protecting respondent confidentiality.
People Readiness for organisations with 10 to 29 employees is a streamlined Assessment and may be reported as one overall organisation group. Separate findings for leadership, managers and employees, functional departments, demographic groups or other subgroups are not guaranteed.
For any other Assessment where only six to nine Valid Responses are received, AI ORA™ will normally report the organisation as one overall group. The analysis will be limited and will not ordinarily include separate role, function, demographic or other subgroup findings.
With 10 or more Valid Responses, subgroup analysis is provided only where the number and distribution of responses support respondent confidentiality and meaningful interpretation. No reported subgroup will contain fewer than five Respondents. AI ORA™ may combine or suppress a subgroup where reporting it could identify someone or produce a misleading result.
AI ORA™ may exclude a response that does not meet the definition of a Valid Response. If an exclusion changes whether the minimum threshold is met or materially changes the available reporting scope, AI ORA™ will tell the Client in writing how many responses were excluded and the general reason. AI ORA™ will not disclose individual answers or information that could identify a Respondent.
The Survey Window may remain open for up to six weeks in total. If six Valid Responses have not been received by the end of that period, AI ORA™ will offer one further run of the Assessment at no charge. The further run must begin within six months after the original survey opened.
If the further run also ends with fewer than six Valid Responses, no refund is payable. If it reaches the minimum but remains a small response base, the reporting limitations in this section apply.
Before the survey opens, the Client may make reasonable changes to the survey dates through the Resource Hub at no charge, provided the Assessment begins within six months of the original Order. Rescheduling does not create a new right to a refund if the applicable cancellation deadline has already passed.
Cancellations must be sent to support@ai-ora.com. A cancellation takes effect at the time the Client sends it, provided the sender does not receive an error or non-delivery message. The deemed-receipt rule in section 20 does not apply to cancellations.
If the Client cancels more than five Business Days before the scheduled survey start date, AI ORA™ refunds the fee less the payment-processing charge actually incurred for that payment and not returned to AI ORA™. AI ORA™ will not add an administration charge and will state the deduction in the refund confirmation. Moving a start date within five Business Days of an earlier scheduled date does not restore a right to a refund that had already expired.
If the Client cancels within five Business Days of the survey start date, or after the survey has opened, no refund is payable. AI ORA™ will instead offer one reschedule to a new start date within six months of the original Order.
If AI ORA™ cannot deliver an Assessment for reasons within its reasonable control, the Client may choose a full refund or a rescheduled Assessment. Events outside either party's reasonable control are dealt with in section 20.
The Client agrees to:
The Client controls who receives the Survey Link. AI ORA™ does not normally receive the invitation list and may not be able to verify the identity or eligibility of each Respondent.
Organisation Headcount is used for pricing. Eligible Population is used for response-rate tracking and the minimum requirement for People Readiness with 10 to 29 people. If corrected Organisation Headcount information places the Client in a different price band, AI ORA™ may adjust the fee before the survey opens. If the Eligible Population is corrected, AI ORA™ may update the required response number, response-rate calculations, reporting assumptions and any affected survey or delivery timelines.
The survey is designed to protect respondent identity. AI ORA™ does not normally ask Respondents for their name or work email address as part of the survey response and does not receive a list of who was invited, unless a different process is clearly agreed and disclosed before the survey begins.
Where a Save and Continue feature is enabled, a Respondent may choose to provide a name and email address to the survey platform solely so that the platform can send a unique link to resume the survey. Those details are processed separately from the survey answers, are not attached to the individual response, and are not made available to AI ORA™ or the Client through the response data. Using Save and Continue does not make the Respondent's answers identifiable to AI ORA™ or the Client.
Results are reported at group level only. No reported subgroup contains fewer than five Respondents, and higher thresholds may be used where needed. Individual responses are not shown to the Client, and an Assessment is not a performance review of any person.
The Client must not attempt to identify a Respondent from the results and must not ask AI ORA™ to do so. AI ORA™ will decline any such request.
Free-text comments can contain personal information if a respondent includes details that identify, or could reasonably identify, a person. AI ORA™ cannot control what a respondent enters. Where the survey includes free-text questions, AI ORA™ reviews comments before reporting and removes, masks or omits information it reasonably identifies as likely to identify a person. AI ORA™ cannot guarantee that a Respondent will not include identifying information, but it will take reasonable steps not to disclose it in the Deliverables.
AI ORA™ handles personal information in line with the New Zealand Privacy Act 2020 and other data protection laws to the extent they apply to AI ORA™'s processing.
The Client decides who is eligible and invited to participate and is responsible for its workforce communications and internal legal obligations. AI ORA™ is responsible for operating the Assessment, analysing responses, protecting respondent confidentiality and creating de-identified benchmark data. If applicable law or a Client procurement process requires a separate data processing agreement, the parties may enter one before the survey opens.
AI ORA™ does not require Respondents to provide direct identifiers such as their name or work email address as part of a survey response. By default, AI ORA™ configures the survey not to record IP addresses or similar persistent device identifiers against responses and may permit multiple responses from the same device so that people can participate through shared devices.
The survey platform may process limited technical information such as browser information, cookies, timestamps or a response token to operate and secure the survey, troubleshoot problems, support access controls and help identify automated or duplicate submissions. AI ORA™ will not enable the collection of IP addresses or similar persistent device identifiers for an Assessment unless that collection is reasonably necessary and is clearly disclosed to Respondents before they begin the survey.
Where Save and Continue is enabled, the survey platform processes the name and email address voluntarily supplied for that feature only to send and manage the resume link. The information is kept separate from the response answers and is not used in the analysis or Deliverables.
AI ORA™ minimises technical-data collection and does not use technical information to identify Respondents or include it in the Deliverables, except where reasonably necessary to investigate misuse or a security incident, or where required by law. The settings and information collected are described in the Privacy Policy and the respondent notice in effect when the survey is completed.
AI ORA™ also holds the business contact details of the Project Coordinator and other named contacts who have been nominated by the Client.
AI ORA™ uses service providers such as a survey platform, payment processor and cloud hosting or storage providers. Data may be stored or processed outside New Zealand. AI ORA™ takes reasonable steps to ensure that its providers protect information to a standard required by applicable law.
AI ORA™ maintains reasonable technical and organisational safeguards appropriate to the information it holds. If a privacy or security breach affects Client information, AI ORA™ will notify the Client without undue delay and notify regulators or affected people where the law requires it.
Further detail about collection, use, storage, international processing and privacy rights is set out in the AI ORA™ Privacy Policy, which forms part of these terms for privacy matters.
AI ORA™ may keep organisation-level survey response data linked to the Client for up to seven years after the Findings Report is delivered. This supports later reassessment, quality assurance, service and product improvement, and benchmarking. At the end of that period, the data is deleted or irreversibly de-identified, unless the law requires a longer period or the Client agrees one. Technical logs are kept only as long as needed for security and operation.
AI ORA™ may create an irreversibly de-identified copy of response data and combine it with data from other Assessments for benchmarking, trend analysis, service and product improvement, and industry reporting. AI ORA™ will not identify a Client or Respondent in that aggregate dataset, or disclose a Client's individual results through it. De-identified aggregate data may be kept and used indefinitely.
The Client may ask AI ORA™ to delete its linked response data by writing to support@ai-ora.com. On a valid request, AI ORA™ deletes or de-identifies that data, subject to legal requirements and reasonable backup cycles. This may remove the ability to compare later Assessments with earlier results. Data that has already been de-identified and combined into the aggregate dataset can no longer be linked to the Client, and cannot be withdrawn. Published aggregate results are not recomputed.
The Client may share or publish its Deliverables as it wishes, subject to section 13. AI ORA™ makes no confidentiality claim over the Client's findings, reports or other outputs from an Assessment.
AI ORA™'s methodology, scoring logic, analytical models, pricing and unpublished product information remain confidential. The Client must protect that information and use it only for the Order. It may share that information with its staff and professional advisers who need it for the Order and are required to protect it.
Either party may disclose confidential information where the law requires it, where reasonably practicable after giving the other party notice.
Confidential information does not include information that is public through no breach of these terms, was already lawfully known, is independently developed without using the other party's information, or is lawfully received from another source.
This section does not prevent AI ORA™ using de-identified and aggregated data under section 11. The confidentiality obligation continues after an Order ends for as long as the information remains confidential.
The survey items, scoring logic, analytical models, benchmarking methodology, report and dashboard design, Resource Hub and AI ORA™ brand remain the property of ORA Benchmarking Limited. Nothing in these terms transfers ownership of them to the Client.
The Client receives a non-exclusive licence to use its Deliverables for its own business purposes. It may share them with its board, staff and professional advisers. It may publish or quote accurate extracts externally if AI ORA™ is credited as the source, the extract is not misleading or altered in a way that changes its meaning, and the publication does not imply that AI ORA™ endorses the Client, its products or its AI programme.
The Client must not resell the Deliverables, publish raw response data, use the Deliverables or AI ORA™'s protected methods to build a competing assessment or instrument, or share dashboard or Resource Hub credentials outside the Client and its professional advisers.
The Client retains its rights in the business information and materials it supplies to AI ORA™. AI ORA™ may name the Client or use its logo in marketing only with the Client's prior written consent.
Findings are diagnostic. They are based on self-reported survey responses and describe the people who responded. Response patterns, low participation and under-represented groups may affect the strength or representativeness of the findings. AI ORA™ may use confidence labels or other explanations to show the strength of the evidence.
The Deliverables are not legal, financial, medical or other professional advice. AI ORA™ does not guarantee any business outcome from acting on them. Decisions made using the Deliverables remain the Client's responsibility.
The Client should notify AI ORA™ within 10 Business Days after receiving the Deliverables of any apparent factual, calculation or administrative error. AI ORA™ will investigate and correct a confirmed error at no additional charge. A difference of opinion about the interpretation or recommendation is not, by itself, an error.
The Client and its people must not:
To the maximum extent permitted by law, AI ORA™'s total aggregate liability to the Client arising out of or in connection with an Assessment, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is capped at the fees paid for that Assessment.
Neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business opportunity or business interruption. This does not limit the Client's obligation to pay fees or either party's right to seek urgent non-monetary relief to protect confidential information or intellectual property.
Nothing in these terms excludes or limits any right, remedy or liability under the Fair Trading Act 1986, or under any other law, to the extent it cannot lawfully be excluded or limited. Nothing excludes liability for fraud or wilful misconduct.
Where the Consumer Guarantees Act 1993 would otherwise apply, the Client confirms that it acquires the Assessment in trade for business purposes and that both parties are in trade. To the extent permitted by section 43 of that Act, the parties agree that the Consumer Guarantees Act does not apply and that it is fair and reasonable for them to be bound by this provision.
AI ORA™ may decline an Order before accepting it. AI ORA™ may cancel an accepted Order if it reasonably believes the Assessment cannot be provided lawfully or securely, including because of applicable legal restrictions, suspected fraud or misuse, or materially inaccurate Order information. AI ORA™ will refund fees paid for work not delivered, except where a refund is prohibited by law or the cancellation results from the Client's breach, false information or misconduct.
Either party may end an Order if the other commits a material breach of these terms and does not put it right within 14 days after receiving written notice describing the breach.
AI ORA™ may suspend access to a survey, Resource Hub or other service where there is non-payment, misuse under section 15, a material security risk or another material breach. AI ORA™ will give notice where reasonably practicable and will lift the suspension when the issue is resolved.
If the Client ends an Order because of AI ORA™'s unremedied material breach before the Deliverables are provided, AI ORA™ will refund the fees paid for the undelivered Assessment. Any other refund is governed by sections 6, 7 and 20.
Ending an Order does not affect rights or obligations that arose before it ended. Sections 9 to 16, any outstanding payment obligations, and the provisions of section 20 that are intended to continue will survive the end of an Order.
AI ORA™ may update these terms from time to time. Updated terms apply only to Orders placed after the updated terms are published or otherwise accepted by the Client. An Order already in progress remains governed by the terms accepted for that Order.
If a dispute arises, each party will first try in good faith to resolve it through a senior representative. Either party may give written notice of the dispute, and the representatives will try to resolve it within 10 Business Days before court proceedings are started.
This section does not prevent either party seeking urgent interim relief, protecting confidential information or intellectual property, or recovering an undisputed overdue payment.
Governing law. These terms are governed by New Zealand law, and the parties submit to the non-exclusive jurisdiction of the New Zealand courts.
Events beyond control. Neither party is liable for delay or failure caused by an event beyond its reasonable control. Affected timelines extend for the period of the delay. If the delay continues for more than 60 days, either party may cancel the affected Order and AI ORA™ will refund fees paid for work not delivered.
Service providers and subcontracting. AI ORA™ may use service providers and subcontractors to deliver an Assessment and remains responsible for its obligations under these terms.
Assignment. Neither party may transfer its rights or obligations without the other party's written consent, except that AI ORA™ may transfer them to a buyer of its business or relevant assets by giving written notice to the Client.
Entire agreement. These terms, the Order Confirmation, the applicable product description and the Privacy Policy form the whole agreement for the Order. A separate written agreement signed by both parties prevails to the extent of any conflict.
No waiver. A delay or failure to exercise a right does not waive that right.
Severability. If any part of these terms is found unenforceable, the rest continues in force.
Notices. Except for cancellations under section 7, formal notices under these terms must be given by email to the Client at the address provided in the Order and to AI ORA™ at support@ai-ora.com. A notice is treated as received on the next Business Day after it is sent, unless the sender receives an error or non-delivery message.
